About Joyalty and GateByte LTD

Joyalty is a brand and business direction operated by GateByte LTD (Company Registration No. 516957990), a company incorporated under the laws of the State of Israel. GateByte LTD is the sole owner of the Joyalty project, including the website joyalty.digital and all associated services. Any reference to "Joyalty" throughout these Terms refers to and is legally binding upon GateByte LTD.

1. Acceptance of Terms

By accessing or using the website joyalty.digital (the "Site") or any services offered by Joyalty ("we", "us", or "our"), you ("Client" or "you") confirm that you are acting on behalf of a legal entity and have the authority to bind that entity to these Terms of Use ("Terms"). If you do not agree, please discontinue use of the Site immediately.

2. B2B Services Only

The Site and all services described herein are intended exclusively for business use. Joyalty does not provide services to individual consumers. By using this Site, you represent that you are accessing it on behalf of a registered business or organization.

3. Description of Services

Joyalty provides consulting, process design, journey mapping, and automation implementation services aimed at improving client engagement and operational workflows for businesses. Specific scope, deliverables, and timelines are defined separately in individual service agreements between Joyalty and each Client. These Terms govern access to and use of the Site only. They do not replace or supersede any signed service agreement.

4. Intellectual Property

All content on the Site — including text, graphics, logos, design, and code — is the property of Joyalty or its licensors and is protected under applicable copyright and intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without prior written permission.

5. Permitted Use

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the Site to transmit spam, malware, or harmful content;
• Attempt to gain unauthorized access to any system or data;
• Misrepresent your identity or affiliation;
• Use the Site for any fraudulent or deceptive purpose.

6. No Transactions Through the Site

The Site does not process payments or financial transactions. Any commercial engagement with Joyalty is handled through separate agreements and channels outside of this Site.

7. Third-Party Tools and Links

The Site may reference or link to third-party platforms (e.g., Salesforce, Airtable, Make, Google Drive). Joyalty is not responsible for the content, privacy practices, or terms of those platforms. Their use is subject to their own respective terms.

8. Disclaimer of Warranties

The Site is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the fullest extent permitted by law, Joyalty shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of the Site. Our total liability in connection with the Site shall not exceed USD 100.

10. Changes to These Terms

We reserve the right to update these Terms at any time. The updated version will be posted on the Site with a revised date. Continued use of the Site after changes constitutes acceptance of the updated Terms.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Tel Aviv, Israel.
